1. About BAYSE

“BAYSE”, “we”, “us” and “our” mean the BAYSE company or authorised studio operator supplying your membership, credits or classes.

The legal name, company number, registered address and contact details of the studio operator responsible for your purchase will be shown during checkout, in your payment confirmation or in the Account section.

Each BAYSE studio may be operated by a separate legal entity. Your contract is with the entity identified when you purchase your membership or credits.

Our Privacy Policy is available through the BAYSE website.


2. Memberships, term and renewal

BAYSE memberships operate on a rolling 28-day basis unless a different term is clearly stated before purchase.

Previous six- or 12-month membership arrangements that have been converted to rolling memberships are no longer subject to their former minimum term, unless the member has expressly agreed otherwise.

A rolling membership:

  • begins on the date shown during checkout;
  • renews automatically every 28 days;
  • continues until cancelled in accordance with section 6; and
  • provides the number of credits and benefits shown at purchase (from point of purchase the system can take around 15 minutes to apply the relevent credits to the client account)

Because billing takes place every 28 days rather than once per calendar month, a member normally makes 13 payments during a full year. Some calendar months may therefore contain two payments.

A recurring membership contract begins only when a customer actively purchases a membership. Claiming or using a free first-class credit does not by itself create a paid membership or recurring-payment contract.


3. Membership credits, expiry and rollover benefits

3.1 Account information

The Account section clearly displays:

  • each available credit;
  • the issue date where applicable;
  • the expiry date;
  • credits used for bookings;
  • cancelled or returned credits; and
  • booking history.

The expiry date shown against each credit (credits) in the Account section is the applicable expiry date for that credit.

BAYSE may also send a reminder approximately one week before credits expire. This is an additional courtesy. Members remain responsible for checking the Account section and managing bookings even if a reminder is delayed, filtered or not received.

3.2 Standard membership credits

Standard membership credits are added to a member’s Account following each successful 28-day membership payment.

Unless otherwise stated as part of the applicable membership, offer or membership benefit, standard membership credits:

  • must be applied to a valid booking before their displayed expiry date;
  • are location specific to the studio at which the account was created
  • do not roll over into a later billing period;
  • cannot be refunded, transferred or exchanged for cash; and
  • will be removed automatically if not booked before expiry.

Certain memberships, offers or membership benefits may include a credit rollover, extended credit-validity period or other expiry-extension benefit and or all location access.

Where such a benefit applies:

  • the applicable benefit and any relevant conditions will be clearly displayed when the membership or offer is purchased or selected;
  • the expiry date displayed against the relevant credit in the member’s Account will reflect any applicable extension; and
  • the benefit applies only in accordance with the conditions displayed for that membership or offer.

The availability, duration and structure of rollover or expiry-extension benefits may vary between memberships and offers. BAYSE may change these benefits for future purchases or renewals in accordance with section 28.

Unless expressly stated otherwise, a rollover or expiry-extension benefit does not make unused credits refundable, transferable or exchangeable for cash.

Where the booking system permits a member to apply a valid credit to a future class before the credit expires, the class itself may take place after the credit’s displayed expiry date.

If that future booking is subsequently cancelled after the relevant credit expiry date has passed, the returned credit may expire immediately.


4. Advance-booking access

Membership levels provide different advance-booking windows:

  • Foundation members may book up to four weeks ahead.
  • Inner Circle members may book up to six weeks ahead.
  • Black Edition members may book up to eight weeks ahead.

An advance-booking window provides earlier access to the published timetable. It does not guarantee that a particular class, instructor, time or studio will be available.

  • Please note free trial bookings may book up to two weeks ahead only

5. Prices, payments and billing

5.1 Recurring payments

The applicable price, billing date, credit allocation and membership benefits will be shown before purchase and in the Account section.

By purchasing a membership, you authorise BAYSE and its payment provider to collect recurring payments using your selected payment method.

You are responsible for:

  • ensuring that payment details remain valid;
  • having sufficient funds available;
  • reviewing the price and billing frequency before purchasing; and
  • contacting BAYSE promptly if you believe a payment is incorrect.

5.2 Automatic payment retries

If there are insufficient funds or a payment is otherwise declined, BAYSE’s billing provider may automatically reattempt the charge using the authorised payment method.

The timing and number of retries may be determined by the billing provider’s payment-recovery process.

Where an invoice remains overdue, BAYSE may also instruct its billing provider to attempt to collect the outstanding amount using a payment method that the customer has validly authorised.

BAYSE and its billing provider will not knowingly collect more than the amount properly owed.

5.3 Overdue accounts

If an Account remains unpaid, BAYSE may:

  • notify the customer;
  • retry the payment;
  • restrict access to the Account;
  • suspend membership benefits;
  • prevent new bookings;
  • cancel future bookings where reasonably necessary; and
  • charge a reasonable administration fee of up to £15 where it reflects costs incurred and is permitted by law.

If the Account remains unpaid for an entire 28-day payment period, BAYSE may automatically terminate the membership.

Termination for non-payment does not remove the customer’s responsibility to pay any valid outstanding balance incurred before termination.

BAYSE may pursue outstanding sums through lawful internal or third-party debt-recovery procedures. Any additional recovery costs will only be sought where they are reasonable, properly incurred and legally recoverable.

Before external recovery action is taken, BAYSE will normally provide notice and a reasonable opportunity to resolve the balance.

5.4 Payment disputes

A payment must not be disputed or reversed merely because it was forgotten or because the member did not use all available credits.

This does not prevent a member from disputing an unauthorised, duplicated or genuinely incorrect payment.

BAYSE will not apply a failed-payment fee where the failure resulted from a BAYSE or payment-system error.


6. Cancelling a membership

BAYSE memberships operate on a rolling 28-day basis and require 28 days’ notice to cancel.

You can request to cancel your membership at any time via the client account section. Your 28-day cancellation notice period starts on the date BAYSE receives your valid cancellation request.

Because your membership continues as normal during this 28-day notice period, a scheduled membership payment may still fall due and be collected before your membership ends.

Example: If your next membership payment is due on 20 September and you submit your cancellation request on 10 September, your 28-day notice period will run until 8 October. Your scheduled payment on 20 September will still be collected, your membership will remain active until 8 October, and no further recurring membership payment will be taken after your membership ends.

During your 28-day notice period:

  • your membership remains active;
  • you continue to receive the credits and benefits included with your membership;
  • any scheduled membership payment falling due during the notice period remains payable; and
  • your membership ends on the confirmed membership end date.

Cancellation does not retrospectively cancel or refund a payment or membership period that has already become due.

How to cancel

Cancellation requests must be submitted through the internal messenger available through the Contact tab in your BAYSE Account. This allows BAYSE to properly record the date of your request and calculate your membership end date.

Cancellation requests submitted by email, text message, social media, telephone, directly to an instructor or through another channel will not normally be accepted.

BAYSE will confirm receipt of a valid cancellation request through the internal messenger and confirm:

  • the date your cancellation request was received;
  • your membership end date; and
  • any membership payment that remains due during your notice period.

If the internal messenger is temporarily unavailable because of a technical issue, BAYSE will provide a reasonable alternative way to submit your cancellation request.

Cancelling one Account or subscription does not automatically cancel another subscription held through a duplicate or separate Account. You must identify each subscription you wish to cancel.

Cancelling your membership also does not automatically cancel classes you have already booked. You are responsible for reviewing and cancelling any future bookings where necessary.

Nothing in this section limits your statutory cancellation or consumer rights.


7. Pausing a membership

An eligible member may normally pause their membership once per calendar year for one 28-day payment period only.

A pause is intended to provide temporary flexibility for circumstances such as:

  • injury or short-term recovery;
  • an extended holiday;
  • summer disruption;
  • Christmas pressures; or
  • another temporary change in circumstances.

Members can request a pause through the Membership tab in the Account section. The available pause option, proposed dates and automatic restart date will be displayed before the request is confirmed.

Pause requests made by email, text, social media, telephone or directly to an instructor will not normally be accepted. If the Account section is unavailable or not functioning, the member may contact BAYSE through the internal messenger.

During an approved pause:

  • the recurring membership payment is deferred for the approved period;
  • the membership is not treated as cancelled;
  • the automatic restart date is displayed in the Membership tab of the Account section;
  • the member’s existing loyalty level is preserved; and
  • expiry dates attached to credits or rewards are not automatically extended unless confirmed by BAYSE.

Approved paused time does not count towards the next loyalty milestone, but it does not reset previously accumulated eligible membership time.

A pause will restart automatically on the date shown in the Membership tab of the Account section, and payments will resume unless the membership has been validly cancelled.

Longer or additional pauses may be considered in exceptional circumstances, including serious injury, pregnancy, surgery or another documented temporary condition. Exceptional pauses are not guaranteed and will be assessed reasonably on a case-by-case basis. Clients should make contact via the contact tab to the Bayse team, any other form of request will not be accepted.


8. Cooling-off rights for online purchases

A customer who purchases a membership online will normally have a statutory 14-day cooling-off period beginning on the day after the contract is entered into.

If the customer wants the membership and booking service to begin during that period, BAYSE will request the customer’s express agreement for the service to start immediately.

Attending or booking a class does not automatically remove every cooling-off right.

If the customer cancels during the cooling-off period after expressly requesting that the service begin, BAYSE may deduct a proportionate amount for services and credits already used, as permitted by law.

The cooling-off right is lost only where the service has been fully performed during the cooling-off period following the customer’s express request and acknowledgement that the right would be lost upon full performance.

To exercise a cooling-off cancellation right, the customer should contact BAYSE through the internal messenger available through the Contact tab in their Account.

If the internal messenger is temporarily unavailable due to a technical issue, BAYSE will provide a reasonable alternative method for the customer to exercise their statutory cancellation rights.


9. Class bookings, cancellations and no-shows

A class place is confirmed only when it appears as booked in the Account section.

If a member cancels:

  • 12 or more hours before the class: the credit is returned with its original applicable expiry date;
  • fewer than 12 hours before the class: the credit is not returned; or
  • after the class has started: the booking is treated as a no-show.

For a no-show:

  • the booking credit is not returned; and
  • a £10 no-show fee may be charged to the payment method held on file.

These rules apply to standard, PAYG, promotional, referral, Guest Pass and Super Credit bookings.

If a returned credit’s applicable expiry date has passed, it may expire immediately.

Members should cancel through the Account section and verify that the cancellation appears in their booking history.


10. PAYG, promotional and referral credits

10.1 PAYG credits

PAYG credits have the validity period displayed on the relevant price card and in the Account section.

PAYG credits must be booked before the displayed expiry date. Unused PAYG credits expire automatically at the end of the displayed validity. BAYSE reserves the right to change the validity on PAYG credits as a commercial decision, any changes do not effect credits where already purchased.

10.2 Promotional and referral credits

Free, promotional, trainer and referral credits have the expiry date displayed with the relevant offer and in the Account section.

Unless expressly stated otherwise, they:

  • have no cash value;
  • cannot be sold or transferred;
  • cannot be refunded; and
  • remain subject to the class-cancellation and no-show rules in section 9.

11. Accounts, security and duplicate accounts

11.1 Account responsibility

You must create a BAYSE Account to purchase a membership, buy credits, redeem a code or book a class.

You must:

  • provide accurate and current information;
  • use your own name, email address and contact details;
  • keep your login and authentication details secure;
  • update your contact, health and payment information when it changes;
  • notify BAYSE promptly if you believe your Account has been accessed without permission; and
  • complete any required two-factor authentication process.

11.2 One Account per person

A customer must not intentionally create, hold or operate multiple BAYSE Accounts or subscriptions for the same person or under the same name without BAYSE’s prior written approval.

Two-factor authentication and other account-verification measures are used to reduce accidental or deliberate account duplication.

BAYSE may identify duplicate accounts using information including:

  • name;
  • email address;
  • mobile number;
  • payment method;
  • transaction history;
  • membership information; and
  • other relevant account details.

A matching name alone will not automatically be treated as proof of misuse. BAYSE will consider the available information and any explanation supplied by the customer.

BAYSE may merge, restrict or close duplicate accounts after completing reasonable checks.

11.3 Duplicate memberships and refund requests

Each membership created and confirmed through checkout is treated as a separate purchase unless BAYSE determines that it arose from a system or payment-processing error.

Cancelling one Account or membership does not automatically cancel another membership held through a separate Account.

Where a customer has created multiple accounts or subscriptions through their own actions:

  • BAYSE will review the circumstances individually;
  • the customer must notify BAYSE as soon as they become aware of the duplication;
  • a full refund cannot be guaranteed;
  • BAYSE may take account of credits issued, bookings made, classes attended and reasonable losses incurred; and
  • any refund will be assessed fairly and in accordance with applicable consumer law.

Where BAYSE confirms that duplicate accounts, subscriptions or payments were caused by a BAYSE system or payment-processing error, BAYSE will correct the issue and provide any refund or account adjustment required by law.

Nothing in this section removes a customer’s statutory rights.

11.4 Personal use

Memberships and credits are personal and cannot be shared, sold or transferred, except through an authorised Guest Pass or referral feature.


12. Free first class and introductory offers

An eligible new customer may claim one free first class.

Unless an offer expressly states otherwise:

  • the offer is limited to one free first class per person;
  • it cannot be exchanged for cash;
  • it cannot be transferred;
  • it cannot be combined with another first-class offer;
  • it must be booked before the expiry date displayed in the Account section; and
  • it remains subject to class availability, health requirements and the booking rules in these Terms.

A payment card is not required solely to book the first free class. A valid payment method may be required for later paid, membership or promotional bookings.

BAYSE may refuse or remove a free-class credit where there is reasonable evidence of duplicate accounts, self-referral, fraud or previous use of the offer.


13. Waitlists and Priority Waitlist Access

Members may join a class waitlist where that feature is available.

Joining a waitlist:

  • does not guarantee a place;
  • does not create a confirmed booking;
  • remains subject to class capacity; and
  • may require the member to act within the time stated in the notification.

13.1 Loyalty priority-notification benefit

Eligible Level 2 and Level 3 loyalty members receive Priority Waitlist Access.

This means eligible members are notified about an available place three hours earlier than members on the same waitlist who do not have this reward.

Priority Waitlist Access:

  • gives eligible members an earlier opportunity to book;
  • does not move them ahead of another person on the waitlist;
  • does not reserve the place;
  • does not automatically add them to the class;
  • does not guarantee that they will secure the place; and
  • does not otherwise prioritise their booking over another eligible member.

Available places remain first come, first served among members who have been notified and are eligible to book.

If the place remains available after the three-hour early-notification period, other members on the same waitlist may then be notified.

Normal cancellation and no-show rules apply once a waitlisted place is booked.


14. BAYSE Membership Loyalty Programme

14.1 Eligibility and loyalty time

The Loyalty Programme is available to members with an eligible active, paid BAYSE membership.

Loyalty levels are based on eligible continuous paid membership time.

Approved pauses:

  • do not reset an earned loyalty level;
  • do not remove already-issued rewards; but
  • do not count towards the next loyalty milestone.

A cancellation or lapse stops loyalty time from accumulating. If a former member rejoins, loyalty time normally restarts from the new membership date unless BAYSE confirms otherwise.

When the programme was introduced, eligible existing members were backdated to the appropriate loyalty level using their recorded membership history.

Current loyalty level, progress and issued rewards are displayed in the Account section.

14.2 Level 1 — after six months

An eligible Level 1 member receives:

  • one Guest Pass; and
  • three Super Credits valid for 12 months from issue.

14.3 Level 2 — after 12 months

An eligible Level 2 member receives:

  • two Guest Passes;
  • six Super Credits valid for 12 months from issue; and
  • Priority Waitlist Access.

14.4 Level 3 — after 18 months

An eligible Level 3 member receives:

  • eight Super Credits valid for 12 months from issue;
  • a 10% discount on eligible PAYG credit purchases using code LOYALTY; and
  • Priority Waitlist Access.

Milestone credit and Guest Pass awards are issued once when the qualifying level is achieved. Rewards issued at a later level are additional to valid rewards already issued at an earlier level.

14.5 Guest Passes

A Guest Pass allows the member to generate a unique code for a friend.

The friend must:

  • create or hold a BAYSE Account at the relevant studio;
  • enter the Guest Pass code in the Redeem Code section of their Account; and
  • comply with BAYSE’s booking, health, cancellation and conduct requirements.

Guest Passes:

  • can be redeemed only once;
  • cannot be sold or exchanged for cash;
  • are subject to availability; and
  • must be redeemed before any expiry date shown in the Account section.

14.6 Super Credits

Super Credits are loyalty credits with a 12-month validity period from issue.

They:

  • remain subject to their displayed expiry date;
  • cannot be exchanged for cash;
  • cannot be sold or transferred;
  • are subject to studio and class availability; and
  • are subject to standard cancellation and no-show rules.

An approved pause or cancellation does not extend a Super Credit’s displayed expiry date.

14.7 Level 3 PAYG discount

The Level 3 discount:

  • applies only to eligible PAYG credit purchases;
  • is applied using code LOYALTY;
  • does not apply to membership payments, gift cards or excluded products;
  • cannot normally be combined with another credit discount; and
  • remains available only while the member retains eligible Level 3 status.

Any exclusions will be shown before payment.


15. Refer a Friend

Eligible members may invite friends to join BAYSE using the referral feature in the Account section.

The Account section will generate and display a unique referral code for the member.

The standard process is:

  1. The friend creates a BAYSE Account.
  2. If eligible, the friend books their free first class.
  3. The existing member shares their unique referral code with the friend.
  4. The friend enters that code in the referral-code box before completing their first membership purchase.
  5. Following successful sign-up, eight referral credits are added to the referring member’s Account.

The reward is subject to the following conditions:

  • The referring customer must have an eligible BAYSE Account.
  • The friend must be a genuine new membership customer.
  • The referral code must be entered before checkout is completed.
  • Codes cannot normally be added retrospectively.
  • The friend’s first membership payment must be successfully collected.
  • If that payment is refunded, reversed or charged back, BAYSE may remove the referral reward.
  • A person cannot refer themselves or create duplicate accounts.
  • Referral credits have the expiry date disclosed with the offer and displayed in the Account section.
  • Referral credits have no cash value and cannot be sold, transferred or refunded.
  • Class-cancellation and no-show rules apply when referral credits are used.

Where reasonable evidence of misuse exists, BAYSE may investigate, withhold or remove the reward.


16. Trainer referral offer

Following an eligible trainer-led class, the trainer may provide the customer with a trainer referral code.

If the customer purchases their first eligible membership within 48 hours of that class and enters the trainer’s code during checkout, two free credits will be added to the customer’s Account.

The offer is subject to:

  • successful collection of the first membership payment;
  • the code being entered before checkout is completed;
  • the purchase being completed within the applicable 48-hour eligibility period;
  • the expiry date displayed against the promotional credits in the Account section;
  • no self-referral, duplicate-account or promotional misuse; and
  • the standard booking, cancellation and no-show rules.

If the qualifying membership payment is refunded, reversed or charged back, BAYSE may remove any promotional credits issued in connection with the offer.


17. Studio cancellations, instructors and timetable changes

Class timetables, instructors and class formats may change reasonably from time to time.

If BAYSE cancels a class:

  • the booking credit will be returned;
  • its expiry may be adjusted where reasonably necessary; and
  • an additional courtesy credit may be issued, but is not guaranteed.

BAYSE will try to provide reasonable notice of timetable and instructor changes.

A routine change of instructor or timetable does not automatically create a refund entitlement.

However, nothing in these Terms removes any statutory remedy where BAYSE fails to provide the contracted service with reasonable care and skill or makes a material change affecting the service.


18. Health, safety and participation

Members are responsible for ensuring that participation is suitable for them.

Before attending, members must:

  • complete the required PAR-Q or health questionnaire accurately;
  • disclose relevant injuries, pregnancy, medical conditions or changes in health;
  • follow reasonable instructor guidance;
  • use equipment only as instructed; and
  • stop exercising and seek advice if they feel unwell or experience unusual pain.

BAYSE instructors do not provide medical diagnosis or treatment. Members should obtain professional medical advice where appropriate.

Participation is at the member’s own risk to the extent permitted by law.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence.


19. Age requirements and children

No person under 16 may participate in a BAYSE class.

A participant aged 16 or 17 must have appropriate parent or guardian consent and must be accompanied where required by the studio.

Children under 11 are not permitted in the studio unless BAYSE has expressly authorised a specific event or arrangement.


20. Behaviour and studio conduct

Members and guests must behave respectfully towards instructors, staff and other customers.

BAYSE may take reasonable action where a person:

  • behaves abusively, threateningly or discriminatorily;
  • creates a safety risk;
  • deliberately damages property;
  • repeatedly disrupts classes;
  • repeatedly breaches booking or no-show rules;
  • creates or operates duplicate accounts; or
  • fraudulently misuses accounts, credits or promotional schemes.

Depending on seriousness, action may include a warning, refusal of a booking, suspension or termination.

Where reasonably practicable, BAYSE will explain the reason and allow the customer to respond.

Immediate action may be taken where necessary to protect safety or prevent serious misconduct.


21. Personal belongings and studio property

Members remain responsible for personal belongings brought into a studio.

BAYSE is not responsible for loss or damage unless caused by BAYSE’s negligence or another liability that cannot lawfully be excluded.

Members may be charged the reasonable cost of repairing deliberate or negligent damage they cause to BAYSE property.


22. Refunds and statutory rights

Except where these Terms or the law provide otherwise, payments are not refundable merely because a customer:

  • changes their mind outside an applicable cooling-off period;
  • does not attend;
  • misses a class;
  • does not use credits before expiry;
  • cancels during an applicable notice period; or
  • accidentally creates an additional Account or subscription.

Duplicate-account and duplicate-subscription refund requests will be assessed individually.

Where the duplication resulted from the customer’s actions, a full refund cannot be guaranteed. BAYSE may consider:

  • how quickly the issue was reported;
  • whether credits were issued or used;
  • whether classes were booked or attended;
  • whether separate subscription services were made available; and
  • any reasonable direct loss incurred.

Where a duplicate payment or subscription resulted from a confirmed BAYSE system or payment-provider error, BAYSE will correct the issue and provide any refund required.

Nothing in these Terms affects statutory consumer rights.

Where BAYSE cannot provide a paid service, makes a material service failure or takes an incorrect payment, the customer may be entitled to a credit, repeat performance, price reduction or refund as required by law.


23. BAYSE’s liability

BAYSE does not exclude or limit liability where doing so would be unlawful, including liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • breach of statutory consumer rights.

Subject to those rights, BAYSE is not responsible for losses that were not reasonably foreseeable when the contract was entered into or for business losses suffered by someone acting wholly or mainly for business purposes.

No term requires a consumer to indemnify BAYSE for matters caused by BAYSE’s own negligence, breach of contract or unlawful conduct.


24. Events outside reasonable control

BAYSE is not responsible for delay or failure caused by events genuinely outside its reasonable control, such as:

  • government restrictions;
  • serious utility or transport disruption;
  • natural disasters;
  • pandemics;
  • industrial action;
  • emergency facility closures; or
  • another comparable event.

BAYSE will take reasonable steps to minimise disruption and communicate with affected members.

Depending on the duration and effect of the event, BAYSE may offer substitute classes, extend credits, pause memberships or provide another appropriate remedy.

Nothing in this section removes a refund or other remedy required by law where services cannot be provided.


25. Personal data and communications

Personal data is handled in accordance with BAYSE’s Privacy Policy.

BAYSE may send service communications necessary to operate the membership, including:

  • payment and payment-retry information;
  • overdue-invoice notices;
  • booking confirmations;
  • class changes;
  • credit-expiry information;
  • cancellation acknowledgements;
  • loyalty-level updates;
  • security and two-factor authentication messages;
  • safety information; and
  • changes to these Terms.

Service communications are separate from optional marketing.

Marketing emails or messages will be sent only where BAYSE has an appropriate lawful basis. Customers may opt out of marketing without affecting essential membership communications.


26. Photography and video

BAYSE may occasionally take photographs or video in studios or at events.

Where identifiable content is intended for marketing, BAYSE will provide appropriate notice and obtain consent where required.

Joining a membership or accepting these Terms does not, by itself, constitute unlimited consent to identifiable marketing use.

A person may decline to be photographed or filmed and may withdraw consent for future use by contacting BAYSE.

Withdrawal does not necessarily require BAYSE to recall material already lawfully published, but BAYSE will consider reasonable removal requests.


27. Intellectual property

Class plans, training materials, branding, written content, photographs and videos owned by BAYSE remain BAYSE’s intellectual property.

They must not be recorded, copied, reproduced, distributed or used commercially without permission.

Members must not record a class or another participant without prior permission.


28. Changes to these Terms and services

BAYSE may make reasonable changes to these Terms or services for valid reasons, including:

  • changes in law or regulation;
  • health and safety requirements;
  • technology or booking-system changes;
  • prevention of fraud or misuse;
  • operational changes; or
  • changes required to keep services commercially sustainable.

Material changes will be explained clearly and, where reasonably possible, notified at least 28 days before taking effect.

A change will not retrospectively remove an already-issued reward or bring forward a displayed credit expiry date unless required by law or agreed with the affected member.

Where a material change significantly disadvantages a member, the member may cancel before it takes effect, subject to applicable rights.


29. Complaints and support

Questions or complaints should first be submitted through the internal messenger available through the Contact tab in the member’s BAYSE Account.

Please include a clear description of the issue and any relevant booking, payment or Account information.

BAYSE will aim to acknowledge and investigate complaints within a reasonable period.

Nothing prevents a consumer from seeking assistance from Citizens Advice, Trading Standards, a court or another applicable dispute-resolution service.


30. Transfer and subcontracting

BAYSE may use instructors, payment providers, technology suppliers and other service providers to deliver its services.

BAYSE may transfer the operation of a studio or membership to another BAYSE entity where this does not materially reduce the member’s rights.

Members will receive reasonable notice of any change to the legal entity responsible for their contract.

Members cannot transfer their membership contract to another person without BAYSE’s written agreement.


31. Severability and waiver

If any part of these Terms is found to be invalid or unenforceable, the remaining terms will continue to apply.

If BAYSE does not enforce a term immediately, this does not permanently waive its right to enforce that term later.


32. Governing law and jurisdiction

These Terms are governed by the law of England and Wales.

The courts of England and Wales will normally have jurisdiction. This does not remove any mandatory right a consumer may have to bring proceedings in another part of the United Kingdom.


33. Scope and acceptance

These Terms govern:

  • BAYSE rolling memberships;
  • PAYG credit packs;
  • free, promotional and referral credits;
  • loyalty rewards and Super Credits;
  • Guest Passes;
  • class bookings;
  • waitlists; and
  • use of BAYSE studios and services.

By purchasing a membership or credits, redeeming an offer or making a booking, the customer confirms that they have been given access to these Terms and accept the applicable contractual provisions.

BAYSE may also require existing customers to review and actively accept an updated version of these Terms through their Account before continuing to access certain Account features or make further bookings.

Where acceptance is requested, the customer will be given access to the applicable version of the Terms before being asked to accept them.

BAYSE may record the version of the Terms accepted, the date and time of acceptance and the Account associated with that acceptance for the purpose of maintaining an accurate contractual record.

Where an updated version clarifies, reorganises or explains existing terms without materially changing the customer’s contractual rights or obligations, BAYSE may ask the customer to acknowledge and accept the updated wording when they next access their Account.

Where an update makes a material change to a customer’s contractual rights or obligations, the notice provisions in section 28 will apply.

BAYSE will provide confirmation of purchases and access to the applicable Terms through the Account or another durable medium where required.

Nothing in these Terms affects a customer’s statutory consumer rights.
